1.     Introduction. Vocational Institute of Michigan collects information in different ways from Visitors and Users who access the various parts of our Services and the network of Web sites accessible through our Services. We use this information primarily to provide a customized experience as You use our Services and, generally, do not share this information with third parties. However, we may disclose personal information collected if we have received your permission beforehand or in very special circumstances, such as when we believe that such disclosure is required or permitted by law or other special cases described below.

2.     Registration/Application and Account Information. Users are asked to provide certain personal information when they sign up for our Services including name, address, telephone number, billing information (such as a credit card number), and the type of personal computer being used to access the Services. Users are asked to complete an online form that collects information about demographics, product usage and preferences, along with other information that will help us improve our products and services. The personal information collected from Users through these forms is used to manage each User’s account (such as for billing purposes) and provide Users with information about services that may be of interest to them. This information is not shared with third parties, unless specifically stated otherwise or in special circumstances. However, in instances where Vocational Institute of Michigan and a partner jointly promote the Services, Vocational Institute of Michigan may provide the partner certain personal information, such as the name, address, and username of persons who subscribed to the Services as a result of the joint promotion for the sole purpose of allowing us and the partner to assess the results of the promotion. In this instance, personal information may not be used by the partner for any other purpose. Vocational Institute of Michigan may also generate non-identifying and aggregate profiles from personal information Users provide during registration (such as the total number, but not the names, of Users). As explained in more detail below, we may in certain instances use this aggregated and non-identifying information to sell advertisements that appear on the Services.

3.     Domain Registration. In certain jurisdictions, domain name registration information legally has to be available to the public. Where domain name registration information is available to the public, anyone can access it through “WHOIS” searches. The WHOIS database is a publicly accessible database that lists the domain name and contact information of each registrant. The domain name registration you provide is hosted by us to the public. At times, our Users may receive solicitations that result from searches of the publicly available WHOIS database conducted by other companies or individuals. However, the solicitation and/or SPAM they receive does not in any way come from Vocational Institute of Michigan.

4.     Vocational Institute of Michigan Partners and Sponsors. Some products and services are offered to Visitors and Users in conjunction with a partner (e.g., domain registration and for joint promotions, as described in paragraph 2 above). To provide Visitors and Users with some of these products and services, the partner may need to collect and maintain personal information. In these instances, we will provide such data collected or transferred to our Partners and Sponsors. Additionally, many Vocational Institute of Michigan Users have co-branded pages that are co-sponsored by non-affiliated partners. Vocational Institute of Michigan will share non-identifying and aggregate information (except as described above), but not personally identifiable information of individual Users, with such partners in order to administer the co-branded products or services offered.

5.     Online Purchasing. At some Web sites that you access through links on Vocational Institute of Michigan, you can purchase courses/products and training services or register to receive materials, such as a catalog or new product updates. In many cases, you may be asked to provide contact information, such as your name, address, e-mail address, phone number, and credit/debit card information. If you complete an order for a Web site or service that is not provided by Vocational Institute of Michigan, Vocational Institute of Michigan has no control over the third parties’ use of any personal information you provide when placing such an order and therefore we have no responsibility or liability for the manner in which the organizations that operate such linked web sites may collect, use or disclose, secure and otherwise treat your personal information. Except as provided herein, we will not provide any of your personal information to these third parties without your consent. We provide links to these Web sites as a convenience to the User. Please exercise care when visiting linked Web sites. The linked Web sites have separate and independent privacy statements, notices and terms of use which we recommend you read carefully. If you order products directly from Vocational Institute of Michigan, we will use the personal information you provide only to process that order. We do not share this information with outside parties except to the extent necessary to complete that order.

6.     Online Advertisements. Vocational Institute of Michigan does not share personally identifiable information about its individual Visitors or Users with advertisers. Vocational Institute of Michigan may display online advertisements and may share aggregated and non-identifying information about our Visitors and Users collected through the registration process, as well as through online surveys and promotions with these advertisers. Additionally, in some instances, we use this aggregated and non-identifying information to deliver tailored advertisements. For instance, an advertiser tells us the audience they want to reach (for example, males between 25 and 55 years of age) and provides us an advertisement tailored to the audience. Based upon the aggregated and non-identifying information we have collected, we may then display the advertisement to the intended audience.

7.     Responses to E-mail Inquiries. When Visitors or Users send e-mail inquiries to Vocational Institute of Michigan, the return e-mail address (and other personal information provided in the inquiry) is used to answer the e-mail inquiry we receive. Vocational Institute of Michigan does not use the return e-mail address for any other purpose and does not share the return e-mail address with any third party.

8.     Voluntary Customer Surveys. We may periodically conduct both business and individual customer surveys. We encourage our Users to participate in these surveys because they provide us with important information that helps us to improve the types of services we offer and how we provide them to you. Your personal information and responses will remain strictly confidential, even if the survey is conducted by a third party. Participation in our customer surveys is voluntary. We take the information we receive from individuals responding to our Customer Surveys and combine (or aggregate) it with the responses of other Vocational Institute of Michigan Users to create broader, generic responses to the survey questions (such as gender, age, residence, hobbies, education, employment, industry sector, or other demographic information). We then use the aggregated information to improve the quality of our services to you, and to develop new services and products. This aggregated; non-personally identifying information may be shared with third parties. Unless otherwise noted in the survey invitation or the survey itself, Users have the option of completing surveys anonymously or providing us with contact information. We may use the contact information to follow up with Users based on the answers they provide. We may also contact you to highlight the changes we have made in response to feedback.

9.     Service Providers. We may transfer (or otherwise make available) your personal information to our affiliates and other third parties who provide services on our behalf. For example, as discussed above, we may use service providers to authorize and process payments, administer surveys, and run our promotions. Your personal information may be maintained and processed by our affiliates and other third party service providers in the US or other jurisdictions. Our service providers are given the information they need to perform their designated functions, and we do not authorize them to use or disclose personal information for their own marketing or other purposes.

10.  Sale of Business. We may transfer your personal information as an asset in connection with a merger or sale (including transfers made as part of insolvency or bankruptcy proceedings) involving all or part of Vocational Institute of Michigan as part of a corporate reorganization or stock sale or other change in corporate control.

11.  Special Cases. It is Vocational Institute of Michigan’s policy not to use or share the personal information about Visitors of Users in ways unrelated to the ones described above without your consent. 12.  “Cookies” and How Vocational Institute of Michigan Uses Them. A “cookie” is a small data file that can be placed on your hard drive when you visit certain Web sites. Vocational Institute of Michigan may use cookies to collect, store, and sometimes track information for statistical purposes to improve the products and services we provide and to manage our telecommunications networks.. 13.  Vocational Institute of Michigan.com Statistics. We use information gathered from our site statistics (for example, User IP addresses) to help diagnose problems with our servers, and to administer our Web site. We also gather broad demographic information from this data to help us improve our site and make your browsing and purchasing experience more enjoyable.

14.  Vocational Institute of Michigan’s Commitment to Children’s Privacy. Protecting children’s privacy is especially important to us. It is our policy to comply with the Children’s Online Privacy Protection Act of 1998 and all other applicable laws. While we make every effort to ensure that our web sites are fun and age-appropriate for our younger audience, we believe that there is no substitute for proper parental supervision. We maintain reasonable administrative, technical and physical safeguards in an effort to protect against unauthorized access, use, modification and disclosure of personal information in our custody and control. Unfortunately, no data transmission over the Internet or any wireless network can be guaranteed to be 100% secure. As a result, while we strive to protect your personally identifiable information, you acknowledge that: (a) there are security and privacy limitations of the Internet which are beyond our control; (b) the security, integrity and privacy of any and all information and data exchanged between you and us through this site cannot be guaranteed; and (c) any such information and data may be viewed or tampered with in transit by a third party, despite our best efforts.

Your online access to certain personal information may be protected with a password you select. We strongly recommend that you do not disclose your password to anyone. We will never ask you for your password in any unsolicited communication (such as letters, phone calls or email messages).

Data related to the services will be maintained in the US. We have personal information retention processes designed to retain personal information of our customers for no longer than necessary for the purposes stated above or to otherwise meet legal requirements.

17.  How to Access or Modify Your Information. You have the right to access, update, and correct inaccuracies in your personal information in our custody and control, subject to certain exceptions prescribed by law. You may request access, updating and corrections of inaccuracies in your personal information we have in our custody or control by accessing your personal profile in your account or by contacting support via email, phone or online chat.. We may request certain personal information for the purposes of verifying the identity of the individual seeking access to their personal information records.

During the registration/application process, you are provided with the opportunity to opt out of receiving marketing and promotional communications from Vocational Institute of Michigan and our partners that are not directly related to the services we provide. Vocational Institute of Michigan, its affiliates or partners may use the information associated with your account to contact you with these special offers.

Please note: Vocational Institute of Michigan reserves the right to send e-mail communications relating directly to their accounts to all active students/members.

20.  Revisions to This Policy. Vocational Institute of Michigan reserves the right to revise, amend, or modify this policy, and our other policies and agreements at any time and in any manner. Notice of any revision, amendment, or modification will be posted in accordance with the Terms of Service.

User Acceptance Policy

Under this Agreement, User shall comply with Vocational Institute of Michigan’s then current Acceptable Use Policy (“AUP”), as amended, modified or updated from time to time by the Vocational Institute of Michigan, and other agreements and which is incorporated in this Agreement by reference. User hereby acknowledges that it has reviewed the AUP and that the terms of the AUP are incorporated herein by reference. In the event of any inconsistencies between this Agreement and the AUP, the terms of the AUP shall govern. Notwithstanding anything to the contrary contained in this Agreement, Vocational Institute of Michigan may immediately take corrective action disconnection or discontinuance of any and all School On-Line Services, or termination of this Agreement in the event of notice of possible violation by User of the AUP. In the event Vocational Institute of Michigan takes corrective action due to a violation of the AUP, Vocational Institute of Michigan shall not refund to User any fees paid in advance of such corrective action. User hereby agrees that Vocational Institute of Michigan shall have no liability to User due to any corrective action that Vocational Institute of Michigan may take (including, without limitation, suspension, termination or disconnection of School On-Line Services).

User is responsible for maintaining the confidentiality of login and billing information. Vocational Institute of Michigan is not liable for any account disputes that may arise between various parties holding account login information. Vocational Institute of Michigan is not responsible for any changes made to the account or any information that has been modified by User, or any parties authorized by User.

User is responsible for updating and maintaining contact and billing information with Vocational Institute of Michigan. Any changes to the User contact information must be made by contacting our Support Team. User is responsible for ensuring that Vocational Institute of Michigan is able to notify the User for technical, billing or other issues or purposes deemed necessary by Vocational Institute of Michigan to maintain the account.

User’s Representations and Warranties.

o In addition to transactions entered into by You on Your behalf, You also agree to be bound by the terms of this Agreement for transactions entered into on Your behalf by anyone acting as Your agent, and transactions entered into by anyone who uses Your account, whether or not the transactions were on Your behalf.

o FOR MASSACHUSETTS RESIDENTS ONLY: User (a) shall at all times be solely responsible for and maintain the confidentiality of personal information of user’s in accordance with laws and regulations applicable to User and its customers, including, with respect to Massachusetts residents, 201 CMR 17.00: Standards for the Protection of Personal Information of Residents of the Commonwealth (the “MA Regulation”) and (b) maintain appropriate security measures that are in compliance with laws and regulations applicable to User and its customers, including, with respect to Massachusetts residents, the MA Regulation. For the purposes of this section [4.e ], “personal information” means information about an identifiable individual, including the first and last name or first initial and last name of an individual together with one or more of the following relating to such individual: (i) Social Security or social insurance number or similar identifier; (ii) driver’s license number/state/province-issued identification number; or (iii) financial account number, or credit or debit card number, with or without any required security code, access code, personal identification number, or password, that would permit access to the account.

o FOR CUSTOMERS OTHER THAN MASSACHUSETTS RESIDENTS: User (a) shall at all times be solely responsible for and maintain the confidentiality of personal information of User’s customers in accordance with laws and regulations applicable to User and its customers, including, with respect to Massachusetts residents, 201 CMR 17.00: Standards for the Protection of Personal Information of Residents of the Commonwealth (the “MA Regulation”) and (b) maintain appropriate security measures that are in compliance with laws and regulations applicable to User and its customers, including, with respect to Massachusetts residents, the MA Regulation. For the purposes of this section [4.f ], “personal information” means information about an identifiable individual, including the first and last name or first initial and last name of an individual together with one or more of the following relating to such individual: (i) Social Security or social insurance number or similar identifier; (ii) driver’s license number/state/province-issued identification number; or (iii) financial account number, or credit or debit card number, with or without any required security code, access code, personal identification number, or password, that would permit access to the account.

License to Vocational Institute of Michigan. User hereby grants to Vocational Institute of Michigan a non-exclusive, royalty-free, worldwide right and license during the Initial Term and any Term thereafter to do the following to the extent necessary in the performance of School On-Line Services, except that with respect to personal information included in the User Content, such license shall be limited to allowing Vocational Institute of Michigan to use such Personal Information in accordance with its Privacy Policy:

o Vocational Institute of Michigan, in its sole discretion, reserves the right

  1. to deny, cancel, suspend, transfer or alter, modify, correct, amend, change, program, or take any other corrective action to protect the integrity and stability of the School On-Line Services (including altering, modifying, correcting, amending, changing, programming, or taking any other corrective action regarding any malicious code, software or related abusive activity, and/or
  2. to comply with any applicable laws, government rules, or requirements, requests of law enforcement, or to avoid any liability, civil or criminal. User further agrees that Vocational Institute of Michigan shall not be liable to User for any loss or damages that may result from such conduct.

Disclaimer of Warranty. User agrees to use all School On-Line Services and any information obtained through or from Vocational Institute of Michigan, at User’s own risk. User acknowledges and agrees that Vocational Institute of Michigan exercises no control over, and accepts no responsibility for, the content of the information passing through Vocational Institute of Michigan’s host computers, network hubs and points of presence or the Internet. THE SCHOOL ON-LINE SERVICES PROVIDED UNDER THIS AGREEMENT ARE PROVIDED ON AN AS IS, AS AVAILABLE BASIS. NEITHER WE NOR ANY OF OUR PARENT, SUBSIDIARY OR AFFILIATED CORPORATIONS, OR ANY OF THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, SHAREHOLDERS, AFFILIATES, AGENTS, ATTORNEYS, SUPPLIERS, THIRD-PARTY INFORMATION PROVIDERS, MERCHANTS, LICENSORS OR THE LIKE (EACH, A “RELATED PERSON”) MAKE ANY WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, FOR THE SCHOOL ON-LINE SERVICES OR ANY EQUIPMENT WE PROVIDE. NO RELATED PERSON MAKES ANY WARRANTIES THAT THE SCHOOL ON-LINE SERVICES WILL NOT BE INTERRUPTED OR ERROR FREE; NOR DO ANY OF THEM MAKE ANY

WARRANTIES AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SCHOOL ON-LINE SERVICES OR AS TO THE ACCURACY, RELIABILITY OR CONTENT OF ANY INFORMATION, SCHOOL ON-LINE SERVICES OR MERCHANDISE CONTAINED IN OR PROVIDED THROUGH THE SCHOOL ON-LINE SERVICES. WE ARE NOT LIABLE, AND EXPRESSLY DISCLAIMS ANY LIABILITY, FOR THE CONTENT OF ANY DATA TRANSFERRED EITHER TO OR FROM USER OR STORED BY USER OR ANY OF USER’S USERS VIA THE SCHOOL ON-LINE SERVICES PROVIDED BY US NO ORAL ADVICE OR WRITTEN INFORMATION GIVEN BY ANY RELATED PERSON, WILL CREATE A WARRANTY; NOR MAY YOU RELY ON ANY SUCH INFORMATION OR ADVICE. The terms of this section shall survive any termination of this Agreement.

Limitation of Liability.

o IN NO EVENT WILL OUR LIABILITY IN CONNECTION WITH THE SCHOOL ON-LINE SERVICES, ANY SOFTWARE PROVIDED HEREUNDER OR ANY ORDER, WHETHER CAUSED BY FAILURE TO DELIVER, NON-PERFORMANCE, DEFECTS, BREACH OF WARRANTY OR OTHERWISE, EXCEED THE AGGREGATE SCHOOL ON-LINE SERVICE FEES PAID TO US BY YOU PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

o WE CANNOT GUARANTEE CONTINUOUS SCHOOL ON-LINE SERVICE, SCHOOL ON-LINE SERVICE AT ANY PARTICULAR TIME, INTEGRITY OF DATA, INFORMATION OR CONTENT STORED OR TRANSMITTED VIA THE INTERNET. WE WILL NOT BE LIABLE FOR ANY UNAUTHORIZED ACCESS TO, OR ANY CORRUPTION, ERASURE, THEFT, DESTRUCTION, ALTERATION OR INADVERTENT DISCLOSURE OF, DATA, INFORMATION OR CONTENT TRANSMITTED, RECEIVED OR STORED ON ITS SYSTEM.

o EXCEPT AS EXPRESSLY PROVIDED BELOW, NEITHER PARTY SHALL BE LIABLE IN ANY WAY TO THE OTHER PARTY OR ANY OTHER PERSON FOR ANY LOST PROFITS OR REVENUES, LOSS OF USE, LOSS OF DATA OR COSTS OF PROCUREMENT OF SUBSTITUTE GOODS, LICENSES OR SCHOOL ON-LINE SERVICES OR SIMILAR ECONOMIC LOSS, OR FOR ANY PUNITIVE, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR SIMILAR DAMAGES OF ANY NATURE, WHETHER FORESEEABLE OR NOT, UNDER ANY WARRANTY OR OTHER RIGHT HEREUNDER, ARISING OUT OF OR IN CONNECTION WITH THE PERFORMANCE OR NON-PERFORMANCE OF ANY ORDER, OR FOR ANY CLAIM AGAINST THE OTHER PARTY BY A THIRD PARTY, REGARDLESS OF WHETHER IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIM OR DAMAGES.

o The limitations contained in this Section apply to all causes of action in the aggregate, whether based in contract, tort or any other Terms of School On-Line Service theory (including strict liability), other than claims based on fraud or willful misconduct. The limitations contained in Section 15 shall not apply to User’s indemnification obligations.

o Notwithstanding anything to the contrary in this Agreement, Vocational Institute of Michigan’s maximum liability under this Agreement for all damages, losses, costs and causes of actions from any and all claims (whether in contract, tort, including negligence, quasi-contract, statutory or otherwise) shall not exceed the actual dollar amount paid by User for the School On-Line Services which gave rise to such damages, losses and causes of actions during the School On-Line period prior to the date the damage or loss occurred or the cause of action arose.

o User understands, acknowledges and agrees that if  the Vocational Institute of Michigan takes any corrective action under this Agreement because of an action of User or one if its Users or a reseller, that corrective action may adversely affect other Users of User or other reseller Users, and User agrees that Vocational Institute of Michigan shall have no liability to User, any of its Users or any Reseller User due to such corrective action by Vocational Institute of Michigan.

o This limitation of liability reflects an informed, voluntary allocation between the parties of the risks (known and unknown) that may exist in connection with this Agreement. The terms of this section shall survive any termination of this Agreement.

Indemnification.

User agrees to indemnify, defend and hold harmless Vocational Institute of Michigan and its parent, subsidiary and affiliated companies, and each of their respective officers, directors, employees, shareholders, attorneys and agents (each an “indemnified party” and, collectively, “indemnified parties”) from and against any and all claims, damages, losses, liabilities, suits, actions, demands, proceedings (whether legal or administrative), and expenses (including, but not limited to, reasonable attorney’s fees) threatened, asserted, or filed by a third party against any of the indemnified parties arising out of or relating to User’s use of the School On-Line Services, (ii) any violation by User of the AUP, (iii) any breach of any representation, warranty or covenant of User contained in this Agreement or (iv) any acts or omissions of User. The terms of this section shall survive any termination of this Agreement.

Waiver of Jury Trial

o Both You and Vocational Institute of Michigan hereby agree to waive all respective rights to a jury trial of any claim or cause of action related to or arising out of this Agreement.

o The scope of the waiver is intended to be all encompassing of any and all disputes that may be filed in any court and that relate to the subject matter herein, including without limitation, contract claims, tort claims, breach of duty claims, and all other common law and statutory claims.

o You and Vocational Institute of Michigan each acknowledge that the waiver is a material inducement for each party to enter into a business relationship, that each party has already relied on the waiver in entering into this Agreement and that each will continue to rely on the waiver in their related future dealings.

o Each party further warrants and represents that each has had the opportunity to have counsel review this Agreement and this waiver.

o The waiver is irrevocable, meaning that it may not be modified either orally or in writing, and the waiver shall apply to any subsequent amendments, renewals, supplements or modifications to this Agreement. In the event of litigation, this Agreement may be filed as written consent to a trial by court.
